1. Acceptance

By accessing or using qecsync.com (the "Site") or any services offered by QECSync ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QECSYNC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OR INABILITY TO USE THE SITE.

IN NO EVENT SHALL QECSYNC'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS EXCEED ONE HUNDRED DOLLARS ($100).

7. Indemnification

You agree to defend, indemnify, and hold harmless QECSync and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.

8. Links to Third-Party Sites

The Site may contain links to third-party websites or resources. Such links are provided for your convenience only. QECSync has no control over the contents of those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them.

9. Governing Law; Arbitration

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, that cannot be resolved informally shall be submitted to binding arbitration in Colorado, USA under the rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. You waive the right to participate in a class action, class arbitration, or representative proceeding.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending resolution of a dispute.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
